Terms and Conditions
Effective Date: 16th September 2026
Summary
These Affiliate Program Terms and Conditions ("Terms") govern your participation in the ZipTier Affiliate Program (the "Program"). Please read them carefully before applying to or participating in the Program.
By submitting an application to participate in the Program, accepting an invitation to participate, accessing or using the affiliate portal, or using any referral link, tracking link, promotional code or other affiliate material provided or approved by ZipTier, you acknowledge that you have read, understood and agreed to be legally bound by these Terms.
If you do not agree to these Terms, you must not apply to, access or participate in the Program.
- Parties and Definitions
- Parties: These Terms constitute a legally binding agreement between:
- ZipTier India Private Limited and/or its affiliates, including ZipTier Inc., as applicable to the contracting entity, billing entity, or service provider identified in your account, invoice, onboarding documentation, or payment records ("ZipTier", "we", "us" or "our"); and
- the person or legal entity approved to participate in the Program ("Affiliate", "you" or "your").
The ZipTier entity that is the contracting party for a particular Affiliate may be identified in the Affiliate portal, payment documentation, onboarding documentation or other applicable contractual materials.
- Definitions: For purposes of these Terms:
- "Affiliate Link" means a unique referral URL, tracking link or other referral mechanism issued or approved by ZipTier for your participation in the Program.
- "Eligible Customer" means a person or entity that is validly attributed to you under these Terms and that subsequently purchases a paid ZipTier subscription, excluding any person or entity whose attribution, purchase or participation is invalidated under these Terms.
- "Net Subscription Fees" means subscription fees actually received by ZipTier from an Eligible Customer, excluding taxes, duties, levies, refunds, rebates, credits, chargebacks, disputed amounts, discounts, payment reversals, complimentary or free services, usage or overage charges billed separately from the applicable subscription fee, and any other amounts that are not actually retained by ZipTier as subscription revenue.
- "Referral" means a prospective customer attributed to you through the Program's tracking mechanism.
- "Rewardful" means the third-party affiliate tracking and administration platform used by ZipTier to administer the Program.
- Parties: These Terms constitute a legally binding agreement between:
- Eligibility and Application
- Eligibility: You may apply to participate in the Program only if:
- you are at least 18 years old, or the applicable age of majority in your jurisdiction, whichever is higher;
- you have full legal capacity and authority to enter into these Terms;
- your participation is lawful in the jurisdiction in which you reside, operate or promote ZipTier;
- you are not subject to applicable sanctions, export restrictions or other legal restrictions that would prohibit your participation or receipt of payments under the Program; and
- all information supplied by you to ZipTier or through Rewardful is complete, accurate and not misleading.
- Approval
- Submission of an application does not constitute acceptance into the Program.
- ZipTier may approve or reject any application in its sole discretion and may request additional information before approving an application. ZipTier is not required to provide reasons for rejecting an application.
- Unless otherwise notified, approval is ordinarily expected to occur within approximately two (2) business days.
- Continuing Eligibility: Approval is conditional upon your continuing compliance with these Terms. ZipTier may suspend or terminate your participation if your promotional activities, audience, content, business practices or other conduct are inconsistent with the Program or reasonably present legal, regulatory, reputational, fraud or security risks to ZipTier.
- Ineligible Persons: ZipTier employees, contractors and members of their immediate household are not eligible to participate unless expressly authorised by ZipTier in writing.
- Eligibility: You may apply to participate in the Program only if:
- Nature of the Relationship
- Independent Contractor
- You participate in the Program as an independent contractor. Nothing in these Terms creates or shall be construed as creating, between you and ZipTier:
- an employment relationship;
- a partnership;
- a joint venture;
- a fiduciary relationship;
- a franchise;
- a distributorship;
- a reseller relationship; or
- an agency relationship.
- You have no authority to bind ZipTier, enter into contracts on ZipTier's behalf, make representations on ZipTier's behalf, incur liabilities in ZipTier's name, or otherwise hold yourself out as an employee, agent, representative or authorised signatory of ZipTier.
- You participate in the Program as an independent contractor. Nothing in these Terms creates or shall be construed as creating, between you and ZipTier:
- No authority to make commitments: You must not make any representation, warranty, guarantee, promise, pricing commitment or other commitment concerning ZipTier that has not been expressly authorised by ZipTier.
- Independent Contractor
- Affiliate Links and Attribution
- Affiliate Link
- Upon approval, ZipTier will provide you with an Affiliate Link through Rewardful or another tracking mechanism designated by ZipTier.
- You may use your Affiliate Link to direct prospective customers to ZipTier's website and other pages that ZipTier permits for affiliate promotion.
- Attribution period
- A Referral will ordinarily remain eligible for attribution for ninety (90) days following the relevant click on your Affiliate Link, subject to the operation of Rewardful and these Terms.
- Rewardful permits campaign-level configuration of the cookie window, and the applicable campaign settings should therefore be configured to correspond exactly with this contractual period.
- Attribution methodology
- Where more than one Affiliate may otherwise claim attribution for the same prospective customer, attribution shall be determined according to the attribution methodology configured by ZipTier in Rewardful, being last-touch attribution: whichever Affiliate Link was clicked most recently before signup is the one credited with the Referral.
- The applicable methodology must be confirmed and configured consistently in Rewardful before the Program is launched. Rewardful currently supports both first-touch and last-touch attribution.
- Once a customer has been attributed in Rewardful, the attribution may remain associated with that customer in accordance with the applicable Rewardful configuration.
- Limitations of tracking
- ZipTier does not guarantee that every Referral will be tracked or attributed.
- Attribution may fail or be affected where, among other things:
- cookies or other tracking technologies are blocked, deleted or disabled;
- the prospective customer uses a different device or browser;
- tracking parameters are removed or altered;
- technical failures occur;
- the customer uses another attribution method;
- the customer was already registered with or known to ZipTier before the Referral; or
- the customer was previously attributed to another Affiliate.
- ZipTier shall not be liable for commissions that are not recorded because of technical, browser, device, attribution or tracking limitations outside its reasonable control.
- No manipulation
- You must not attempt to create, overwrite, preserve, manipulate or force an attribution through any means other than a genuine interaction by a prospective customer with your Affiliate Link.
- This includes cookie stuffing, forced clicks, hidden links, invisible frames, automatic redirects, pop-unders, malware, deceptive browser behaviour, automated traffic or any similar technique.
- Affiliate Link
- Commissions
- Commission rate: Subject to these Terms, you will receive a commission equal to thirty percent (30%) of Net Subscription Fees actually received by ZipTier from each Eligible Customer during the applicable Commission Period.
- Commission Period
- The commission period for each Eligible Customer begins on the date of the Eligible Customer's first paid subscription payment and continues for twelve (12) consecutive months.
- The Referral's time on a free or non-paying plan does not reduce the twelve-month Commission Period.
- Accordingly, where a customer initially uses ZipTier's free plan and subsequently upgrades to a paid subscription, the twelve-month period begins upon the customer's first qualifying paid subscription payment.
- Upgrades and downgrades: If an Eligible Customer upgrades, downgrades or otherwise changes its paid subscription during the Commission Period, the commission will be calculated by reference to the applicable Net Subscription Fees actually received by ZipTier for the relevant billing period.
- Expiration: No commission will accrue after expiry of the twelve-month Commission Period, even if the Eligible Customer remains a ZipTier customer.
- Excluded amounts: No commission shall be payable on:
- taxes, duties or governmental charges;
- refunds or refunded amounts;
- chargebacks or reversed transactions;
- disputed or unpaid amounts;
- credits or account adjustments;
- promotional discounts or amounts not actually received by ZipTier;
- free, complimentary or trial services;
- usage, overage or other charges that are not part of the qualifying subscription fee;
- amounts attributable to fraud or invalid transactions; or
- any other amount that ZipTier does not actually retain as qualifying subscription revenue.
- No minimum or maximum number of Referrals
- Subject to these Terms, there is no minimum number of customers you must refer and no maximum number of customers you may refer.
- Participation in the Program does not, however, guarantee any minimum level of traffic, conversions, customers, commissions or earnings.
- Commission Approval and Payment
- Approval period: Commissions will ordinarily remain pending for thirty (30) days following the relevant customer payment to allow for refunds, cancellations, chargebacks, payment reversals and fraud review.
- Payment cycle
- Approved commissions will be processed on a monthly basis, subject to the applicable payment threshold and the requirements of these Terms.
- Rewardful itself does not necessarily make the underlying commission payment; depending on the configuration adopted by ZipTier, ZipTier may settle commissions directly or through an applicable payment mechanism. Rewardful's current documentation confirms that merchants remain responsible for settlement unless using an applicable managed-payment arrangement.
- Minimum payout threshold
- The minimum payout threshold shall be US$25.
- The threshold must be made consistent across the Program, Rewardful configuration, Affiliate portal and all public-facing ZipTier affiliate materials.
- Payment information
- You are responsible for providing accurate and current payment, tax and identification information.
- ZipTier is not responsible for delays, failed payments or payments made incorrectly where such failure results from inaccurate or incomplete information supplied by you.
- Payment charges: Any bank, payment processor, foreign-exchange, intermediary-bank or similar charges associated with receiving a commission may be borne by the Affiliate unless otherwise required by applicable law or expressly agreed by ZipTier.
- Taxes and withholding
- You are solely responsible for determining and satisfying all tax obligations arising from your participation in the Program and receipt of commissions.
- ZipTier may require tax forms, identification documents, beneficial ownership information or other documentation before processing a payment and may withhold or deduct amounts where required by applicable law.
- Where applicable, ZipTier may request forms including IRS Forms W-9, W-8BEN or W-8BEN-E, or equivalent documentation required in another jurisdiction.
- Refunds, Chargebacks, Cancellations and Clawbacks
- Refunds and chargebacks: Where a payment giving rise to a commission is subsequently refunded, reversed, charged back or otherwise not retained by ZipTier, the corresponding commission may be reversed.
- Negative balances: If a payment giving rise to a commission is subsequently refunded, reversed, charged back or otherwise not retained by ZipTier, the corresponding commission may be reversed.
- Customer cancellation
- If an Eligible Customer cancels its paid subscription, commissions cease accruing from the date on which the customer ceases making qualifying payments.
- Commissions validly earned and approved before cancellation remain payable, subject to these Terms.
- Fraud and invalid transactions: ZipTier may void commissions attributable to transactions that it reasonably determines resulted from fraud, abuse, self-referral, manipulation, prohibited promotional activity, or other material violations of these Terms.
- Affiliate Disclosures and Advertising Compliance
- General obligation
- You are solely responsible for ensuring that every advertisement, endorsement, recommendation, review, social-media post, video, article, email, podcast, website placement and other promotional communication through which you promote ZipTier complies with all applicable advertising, consumer-protection, disclosure, privacy, electronic-marketing and other laws and regulatory requirements.
- Affiliate marketing is treated as advertising in several major jurisdictions. For example, the UK ASA/CAP guidance expressly treats affiliates as secondary advertisers and requires affiliate marketing to be obviously identifiable as advertising. The European Commission likewise states that affiliate marketing must be disclosed under applicable EU consumer law.
- Material connection
- You must clearly and conspicuously disclose your material financial relationship with ZipTier whenever you promote ZipTier in circumstances where a reasonable consumer could otherwise be unaware that you may receive compensation.
- The disclosure must be:
- readily noticeable;
- understandable to the intended audience;
- placed sufficiently close to the relevant promotional content or Affiliate Link; and
- appropriate to the medium in which the promotion appears.
- A disclosure hidden in a footer, profile page, terms page, hashtag block, collapsed section or otherwise inaccessible location may be insufficient.
- The FTC specifically recognises affiliate commissions as material connections requiring disclosure, and recommends disclosures such as stating that the promoter earns commissions from purchases through the links.
- Platform-specific disclosures
- Where the applicable platform provides an advertising, sponsorship or paid-partnership disclosure mechanism, you must use it where legally required or reasonably necessary.
- You must not rely solely on a platform's disclosure feature where applicable law requires additional disclosure.
- Video and audio: For video, livestream or audio promotions, the disclosure must be made in a manner reasonably likely to be noticed and understood by the audience, including, where appropriate, both visually and audibly.
- Truthful representations
- You must not make false, misleading, unsubstantiated or deceptive statements regarding ZipTier, its products, services, pricing, features, capabilities, customers, results, security, performance or business.
- You must not represent that you personally used or achieved a result from ZipTier unless that representation is true.
- Reviews and testimonials
- You must not create, purchase, commission, manipulate or publish fake reviews or testimonials concerning ZipTier.
- You must not represent that an individual has used ZipTier or achieved a particular result where that is not true.
- The FTC's 2024 Consumer Reviews and Testimonials Rule specifically addresses fake or false reviews and testimonials, misleading insider testimonials and certain compensated review practices.
- General obligation
- Email, SMS and Direct Marketing
- Compliance: You must comply with all applicable laws governing unsolicited communications, direct marketing and electronic messages, including, where applicable, the CAN-SPAM Act, Canada's Anti-Spam Legislation (CASL), the UK PECR regime, Australia's Spam Act 2003, New Zealand's Unsolicited Electronic Messages Act 2007, and equivalent laws in other jurisdictions.
- Consent
- You must not send or cause to be sent marketing emails, text messages or other electronic communications promoting ZipTier unless you have the legally required consent or other lawful basis for doing so.
- You must maintain appropriate records demonstrating the basis on which recipients may lawfully be contacted where required.
- For example, UK PECR can apply not only to the sender but also to an organisation that encourages or instigates another person to send direct marketing, making affiliate arrangements particularly important to structure carefully.
- Purchased and harvested lists: You must not:
- purchase, rent, scrape or harvest contact lists for the purpose of promoting ZipTier;
- send promotional communications to addresses obtained unlawfully;
- use automated systems to harvest email addresses or other personal data; or
- represent that a recipient has consented to receive ZipTier marketing when that consent has not been validly obtained.
- Prohibited Promotional Practices
Without ZipTier's prior written consent, you must not:
- Brand bidding: Bid on ZipTier's trademarks, brand names, domain names, misspellings or confusingly similar terms in paid search advertising.
- Domain and identity abuse: Register or use any domain name, social-media handle, application name or other identifier that incorporates or is confusingly similar to ZipTier's name, trademarks or branding.
- Impersonation: Represent yourself as ZipTier, a ZipTier employee, ZipTier support representative, official ZipTier account or other authorised ZipTier representative.
- Self-referrals: Refer yourself, a business owned or controlled by you, or another person or entity acting primarily for your benefit. Rewardful itself identifies self-referrals as a known affiliate program risk and provides mechanisms for identifying and deactivating suspicious self-referrals.
- Artificial traffic: Generate or procure clicks, impressions, leads, registrations, conversions or purchases through bots, scripts, click farms, automated systems, misleading redirects, incentivised traffic or other artificial means.
- Cookie manipulation: Use cookie stuffing, forced clicks, hidden iframes, automatic redirects or any other technique intended to create an attribution without a genuine user interaction.
- Unauthorised coupons: Create, distribute or advertise coupon codes, discounts or promotional offers that ZipTier has not expressly authorised.
- Coupon and deal-site abuse: Use unauthorised coupon, deal, voucher, discount or cashback practices intended to capture customers who are already seeking ZipTier through another marketing channel.
- Misleading advertising: Make claims that are false, misleading, exaggerated, unsupported or incapable of substantiation.
- Unlawful or objectionable content: Promote ZipTier through websites, accounts or media primarily containing unlawful, fraudulent, hateful, harassing, sexually explicit, infringing, defamatory or otherwise objectionable content.
- Malware and harmful software: Use malware, spyware, adware, browser hijacking, malicious scripts, deceptive downloads or any technology that may compromise or interfere with a user's device or experience.
- Unauthorised incentives: Offer cash, prizes, rewards, rebates or other incentives in connection with a Referral without ZipTier's prior written approval where such incentive may affect attribution, consumer understanding or the legality of the promotion.
- Permitted Promotional Methods
- Subject to these Terms and applicable law, Affiliates may promote ZipTier through legitimate methods including:
- websites and blogs;
- educational or editorial content;
- newsletters and email communications, where lawfully sent;
- podcasts;
- video and livestream content;
- social media;
- paid social advertising;
- non-branded paid search;
- communities in which the Affiliate legitimately participates; and
- promotion to the Affiliate's own clients or audience.
- The fact that a promotional method is listed above does not exempt the Affiliate from obtaining any required consent or complying with applicable law or platform rules.
- Subject to these Terms and applicable law, Affiliates may promote ZipTier through legitimate methods including:
- Use of ZipTier's Name, Trademarks and Materials
- Limited licence: Subject to these Terms, ZipTier grants you a limited, non-exclusive, non-transferable and revocable licence during your participation in the Program to use ZipTier's approved names, logos, screenshots, product descriptions and other materials supplied through the Program solely for the purpose of promoting ZipTier.
- Brand integrity: You must:
- use ZipTier branding substantially in the form supplied;
- not alter or distort ZipTier's logos or trademarks;
- not register or attempt to register ZipTier's marks as trademarks, domains, usernames, handles or other identifiers;
- not incorporate ZipTier's branding into another product or service in a manner suggesting endorsement or affiliation; and
- not create any impression that you are an official ZipTier website, account or representative.
- No implied endorsement: Your participation in the Program does not give you the right to state or imply that ZipTier endorses your other products, services, business, views or activities.
- Post-termination: Upon termination or suspension of your participation, you must immediately cease representing yourself as a ZipTier Affiliate and, within fourteen (14) days, remove ZipTier branding, promotional materials and Affiliate Links under your control, unless ZipTier instructs otherwise.
- Content Created by Affiliate
- Except for ZipTier's intellectual property and materials supplied by ZipTier, you retain ownership of original content that you independently create.
- You grant ZipTier a non-exclusive, worldwide, royalty-free licence to reproduce, display, reference and link to publicly available content that you create specifically in connection with promoting ZipTier, solely for ZipTier's own marketing, promotional and archival purposes.
- ZipTier will not acquire ownership of your underlying intellectual property merely because you participate in the Program.
- Personal Data and Privacy
- Privacy compliance
- You must comply with all applicable privacy and data-protection laws when collecting, using, disclosing, storing or otherwise processing personal data in connection with your promotion of ZipTier.
- Depending on the relevant jurisdiction, this may include the GDPR/UK GDPR, applicable US state privacy laws, Canada's privacy laws, Australia's Privacy Act, India's Digital Personal Data Protection Act, 2023, and equivalent laws elsewhere.
- ZipTier's current Privacy Policy identifies GDPR, CCPA/CPRA and India's DPDPA among the regimes relevant to its operations.
- No unauthorised sharing of personal data: You must not provide ZipTier with personal data of prospective customers unless you are legally permitted to do so and have complied with all applicable notice, consent and other requirements.
- Tracking technologies: You must comply with applicable laws concerning cookies, tracking technologies, online identifiers and similar technologies when deploying Affiliate Links or other tracking mechanisms.
- Affiliate data: Information made available to you through Rewardful or the Program may be used only for legitimate administration and promotion of the Program and must not be sold, disclosed, scraped, combined with unrelated datasets or used for unrelated marketing purposes.
- Privacy compliance
- Confidential Information
- You must keep confidential all non-public information provided to you by ZipTier, including:
- unpublished product information;
- non-public pricing;
- product roadmaps;
- technical information;
- performance or conversion data;
- information concerning other Affiliates;
- commercial terms not publicly disclosed; and
- other information that a reasonable person would understand to be confidential.
- You may use Confidential Information only for your participation in the Program. This obligation does not apply to information that:
- becomes publicly available through no breach of these Terms;
- was lawfully known to you before disclosure;
- is independently developed without use of the Confidential Information; or
- must be disclosed by law, provided that, where legally permitted, you give ZipTier reasonable prior notice.
- You must keep confidential all non-public information provided to you by ZipTier, including:
- Monitoring, Audit and Compliance
- ZipTier may monitor your promotional activities to determine compliance with these Terms and applicable law.
- You agree to reasonably cooperate with ZipTier's requests for information concerning:
- your promotional channels;
- advertising placements;
- traffic sources;
- disclosure practices;
- consent records where relevant;
- promotional claims; and
- suspected fraudulent or prohibited activity.
- ZipTier may request that you promptly remove or modify promotional material that it reasonably believes violates these Terms, applicable law, a third-party platform's rules, or ZipTier's brand requirements.
- Suspension and Termination
- Termination without cause: Either party may terminate participation in the Program at any time by written notice.
- Immediate suspension: ZipTier may immediately suspend your account, referral tracking or payment of pending commissions where it reasonably suspects:
- fraud;
- unlawful activity;
- a material breach of these Terms;
- manipulation of attribution;
- prohibited advertising practices;
- conduct likely to cause material reputational harm to ZipTier; or
- conduct presenting a material legal, regulatory, security or financial risk.
- Termination for breach: ZipTier may terminate your participation immediately where you materially breach these Terms, particularly Sections 8, 9, 10, 12, 14 or 15.
- Effect of termination: Upon termination:
- you must stop representing yourself as a ZipTier Affiliate;
- you must cease using ZipTier's trademarks and promotional materials;
- you must remove Affiliate Links and ZipTier promotional materials within the period specified in Section 12.4;
- approved commissions validly earned before termination remain payable, subject to these Terms; and
- commissions that have not yet been approved remain subject to verification, refunds, chargebacks and other applicable adjustments.
- Post-termination commissions
- Unless otherwise stated in these Terms, a Referral attributed before termination may continue generating commissions for the remainder of its applicable Commission Period.
- However, where ZipTier terminates your participation because of fraud, unlawful conduct, deliberate attribution manipulation, material misrepresentation, prohibited promotional activity or another material breach of these Terms, ZipTier may cancel or withhold unpaid commissions attributable to or arising from the breach, subject to applicable law.
- Changes to the Program
- ZipTier may modify the Program, including its commission structure, attribution rules, payment procedures, eligibility requirements or promotional requirements.
- Where a change materially adversely affects an Affiliate, ZipTier will provide reasonable advance notice where practicable.
- Commission changes: Any reduction or other material change to the commission structure will apply prospectively and will not retroactively alter commissions that have already been validly earned, unless otherwise required by law or expressly agreed by the Affiliate.
- Changes to these Terms
- ZipTier may amend these Terms by posting an updated version and providing notice through the Affiliate portal or the email address associated with your account.
- Unless a shorter period is required for legal, regulatory, security or fraud-prevention reasons, material amendments will become effective no earlier than thirty (30) days after notice.
- Your continued participation after the effective date constitutes acceptance of the amended Terms.
- If you do not agree to an amendment, your sole remedy is to cease participating in the Program.
- Representations and Warranties
- You represent and warrant that:
- you have authority to enter into these Terms;
- your participation in the Program does not violate any other agreement binding upon you;
- all information supplied to ZipTier is accurate and complete;
- you will comply with applicable law;
- your promotional activities will not infringe the rights of any third party;
- you will not knowingly make false, misleading or unsubstantiated representations concerning ZipTier; and
- you will not engage in fraudulent, deceptive or manipulative conduct in connection with the Program.
- You represent and warrant that:
- Disclaimer
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
- ZIPTIER DOES NOT WARRANT OR REPRESENT THAT:
- THE PROGRAM WILL BE AVAILABLE AT ALL TIMES;
- ANY PARTICULAR LEVEL OF TRAFFIC, SALES, REFERRALS OR COMMISSIONS WILL BE GENERATED;
- ALL REFERRALS WILL BE TRACKED OR ATTRIBUTED;
- THE REWARDFUL PLATFORM OR OTHER THIRD-PARTY SYSTEMS WILL OPERATE WITHOUT INTERRUPTION OR ERROR; OR
- PARTICIPATION IN THE PROGRAM WILL GENERATE ANY PARTICULAR LEVEL OF INCOME.
- No information, estimate, example, calculator or projection provided by ZipTier constitutes a guarantee or representation of future earnings.
- Limitation of Liability
- To the maximum extent permitted by applicable law, ZipTier shall not be liable to you for any indirect, incidental, special, exemplary, punitive or consequential loss, including loss of profits, revenue, business, goodwill, anticipated savings or opportunity, arising out of or relating to the Program or these Terms.
- To the maximum extent permitted by applicable law, ZipTier's aggregate liability arising out of or relating to the Program or these Terms shall not exceed the total commissions actually paid or payable to you during the twelve (12) months preceding the event giving rise to the claim.
- Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
- Indemnification
- To the maximum extent permitted by applicable law, you shall indemnify, defend and hold harmless ZipTier, its affiliates and their respective officers, directors, employees and representatives from and against claims, losses, liabilities, damages, penalties, costs and reasonable legal expenses arising out of or relating to:
- your breach of these Terms;
- your violation of applicable law;
- your promotional activities;
- your failure to make required advertising or affiliate disclosures;
- your unauthorised or misleading representations concerning ZipTier;
- your infringement or alleged infringement of any third-party intellectual property, privacy, publicity or other rights; or
- fraud, wilful misconduct or unlawful conduct by you.
- To the maximum extent permitted by applicable law, you shall indemnify, defend and hold harmless ZipTier, its affiliates and their respective officers, directors, employees and representatives from and against claims, losses, liabilities, damages, penalties, costs and reasonable legal expenses arising out of or relating to:
- No Exclusivity
- The Program is non-exclusive.
- You may promote other products or services, provided that doing so does not:
- create a conflict with these Terms;
- misuse ZipTier Confidential Information;
- infringe ZipTier's rights; or
- falsely imply an endorsement, partnership or affiliation with ZipTier.
- ZipTier may simultaneously operate other affiliate, referral, advertising, reseller or marketing arrangements.
- No Guarantee of Continued Participation
- Participation in the Program is a privilege and not a right.
- ZipTier may limit, suspend, modify or discontinue the Program, subject to applicable law and the treatment of commissions validly earned before such discontinuation.
- Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-laws principles.
- The courts located in Bengaluru, Karnataka, India, shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any mandatory rights or remedies that cannot lawfully be excluded.
- General
- Assignment
- You may not assign or transfer your rights or obligations under these Terms without ZipTier's prior written consent.
- ZipTier may assign these Terms to an affiliate or in connection with a merger, reorganisation, financing, acquisition, sale of substantially all of its assets or similar corporate transaction.
- Severability: If any provision of these Terms is determined to be invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.
- Waiver: A failure or delay by ZipTier to exercise any right or remedy does not constitute a waiver of that right or remedy.
- Entire agreement: These Terms, together with any applicable Program materials expressly incorporated into them and ZipTier's applicable Privacy Policy, constitute the entire agreement between you and ZipTier concerning your participation in the Program and supersede prior communications concerning the same subject matter.
- No third-party beneficiaries: Except as expressly stated, these Terms do not create rights in favour of any third party.
- Notices
- ZipTier may provide notices to you through the email address associated with your Affiliate account, the Affiliate portal or other reasonable electronic means.
- You must ensure that your contact information remains current.
- Electronic acceptance: Electronic acceptance of these Terms, including acceptance through the Rewardful registration or onboarding process, shall constitute valid acceptance and agreement to these Terms to the extent permitted by applicable law.
