Welcome to ZipTier. These Terms govern your use of our AI-assisted customer engagement, automation, and analytics platform. By using the Service, you agree to:
- Use the platform lawfully and responsibly.
- Respect intellectual property, privacy, and security obligations.
- Accept applicable subscription, billing, cancellation, and refund terms.
- Understand that AI-generated outputs may contain errors and require human review.
- Acknowledge that Customer Data is processed to provide the Service and is not used to train ZipTier proprietary foundation models.

- Introduction
- These Terms and Conditions ("Terms") form a binding legal agreement between you ("User", "you") and ZipTier India Private Limited and/or its affiliates, including ZipTier Inc., as applicable to the contracting entity, billing entity, or service provider identified in your Order Form, account, invoice, or purchase flow (collectively, "ZipTier", "we", "us", or "our").
- By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, Refund and Cancellation Policy, Cookie Policy, and Data Processing Addendum, which are incorporated by reference.
- If you are using the Service on behalf of an organization, you represent that you have authority to bind that entity to these Terms.
- ZipTier's services may be delivered through a group structure including ZipTier India Private Limited and ZipTier Inc. Internal allocations of contracting, billing, support, hosting, or intellectual property functions may occur within the ZipTier group subject to applicable law and privacy commitments.
- Any collection and use of personal data described in these Terms is carried out in accordance with the lawful bases and jurisdiction-specific requirements set out in our Privacy Policy and Data Processing Addendum, including the GDPR for EEA/UK users, the CCPA/CPRA for California residents, and the Digital Personal Data Protection Act, 2023 for users in India.
- Definitions
- AI Output: Any content generated by the Service in response to User Content.
- Confidential Information: Non-public information disclosed by either party that is designated confidential or would reasonably be understood as confidential.
- Intellectual Property Rights: All rights related to patents, copyrights, trademarks, trade secrets, and other proprietary interests.
- Subscription Plan: The free or paid service tier selected by you, including applicable features, usage limits, seats, included credits, fees, billing cycle, and support entitlements.
- User Content: Data, documents, or materials submitted by you to the Service. For the purposes of these Terms, User Content may include website interaction information, chatbot interactions, customer communications, behavioural telemetry, or similar information transmitted to the Service following the Customer's configuration and any consent required under applicable law.
- Overage Credits: Additional paid usage credits, conversations, tokens, or similar units purchased separately from a Subscription Plan, if offered, and subject to stated validity periods.
- Agency Account: An account created or operated by a marketing agency, consultant, service provider, reseller, contractor, or similar intermediary that uses the Service to create, manage, configure, deploy, monitor, or operate campaigns, chatbots, workflows, automations, or related functionality on behalf of one or more third-party clients.
- Managed Client: Any third-party business, organization, customer, or entity for whom an Agency Account holder creates, manages, deploys, or operates campaigns, chatbots, workflows, automations, or related Service functionality.
- Agency User: Any User operating an Agency Account, including its employees, contractors, representatives, or authorized personnel acting on behalf of the Agency Account holder.
- User Accounts
- Registration: You must provide accurate and complete information when creating an account and keep it updated.
- Security: You are responsible for safeguarding your login credentials. Notify us immediately of unauthorized access. ZipTier is not liable for losses due to compromised accounts.
- Account Termination: You may request the deletion of your account at any time by contacting our support team at support@ziptier.com. We may retain or delete your data in accordance with our Privacy Policy.
- Responsibility for End-Users: If you provide access to the Service to any third party (an "End-User"), you remain fully responsible for such End-User's compliance with these Terms and all incorporated policies. Any breach by an End-User will be deemed a breach by you.
- Agency Accounts and Managed Clients
- ZipTier may permit certain Users to operate Agency Accounts for the benefit of one or more Managed Clients.
- Where an Agency Account is used, the Agency User represents and warrants that it possesses all necessary rights, authorizations, permissions, approvals, and contractual authority required to act on behalf of each Managed Client and to create, configure, deploy, manage, or operate campaigns, chatbots, workflows, automations, integrations, and related Service functionality for such Managed Client.
- The Agency User remains fully responsible for all activity conducted through its Agency Account, including activity performed for or on behalf of any Managed Client, employee, contractor, representative, or other authorized user.
- ZipTier shall be entitled to rely upon instructions, configurations, permissions, requests, and decisions submitted through an Agency Account as being authorized by the relevant Managed Client unless ZipTier receives written notice to the contrary.
- ZipTier shall have no obligation to independently verify the authority of an Agency User to act on behalf of any Managed Client.
- Any breach of these Terms or any incorporated policy by an Agency User, Managed Client, employee, contractor, representative, or other person operating through an Agency Account shall be deemed a breach by the Agency Account holder.
- License & Use of Service
- License Grant: Subject to these Terms and payment of applicable fees, ZipTier grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for internal business purposes.
- Restrictions: You may not:
- Copy, modify, or reverse-engineer the Service.
- Sell, sublicense, or commercially exploit the Service.
- Use the Service in violation of law or third-party rights.
- Use the Service to generate deceptive, harmful, or misleading content.
- Enterprise Clients: Custom license terms may apply under separate agreements.
- User Content & Data Rights
- Ownership: You retain ownership of your User content.
- License to ZipTier: You grant ZipTier a non-exclusive, worldwide, royalty-free right to host, copy, transmit, process, display, and otherwise use User Content solely as necessary to:
- provide, operate, secure, support, and maintain the Service for you;
- generate outputs, workflows, analytics, and requested functionality;
- troubleshoot errors, prevent abuse, detect fraud, and enforce these Terms; and
- create aggregated, anonymised, or de-identified statistics that do not identify you or any individual.
For avoidance of doubt, ZipTier does not use User Content, prompts, outputs, transcripts, or customer-submitted personal data to train or fine-tune ZipTier proprietary foundation models or master AI models.
ZipTier may use third-party model or infrastructure providers solely to provide the Service subject to contractual and technical safeguards.
- Sensitive Data: You must not upload sensitive personal data (e.g., health, financial, biometric) without a separate written agreement outlining additional safeguards.
- Compliance: You represent that your User Content complies with applicable laws and our Acceptable Use Policy.
- Data Processing: Where applicable, you are the "Data Controller" and ZipTier is the "Data Processor" under GDPR, DPDPA, and similar laws. See our Data Processing Addendum.
- Roles Across Different Data Types: For clarity:
- For account, billing, and subscription-related data that you provide directly to ZipTier (for example, admin contact details, billing contacts, and payment information), and for automated data collected via the Service (for example, IP addresses, device identifiers, and usage logs), ZipTier determines the purposes and means of processing and therefore acts as Data Controller (GDPR), Business (CCPA/CPRA), and Data Fiduciary (DPDPA).
- For User Content and any personal data that you or your organization upload or otherwise submit into the Service for your own business purposes, you or your organization act as Data Controller / Business / Data Fiduciary and ZipTier acts as Data Processor / Service Provider / Data Processor, processing such data only on your documented instructions and in accordance with the Data Processing Addendum.
- Nothing in these Terms grants ZipTier independent rights to exploit User Content for advertising, resale, unrelated profiling, or proprietary AI model training beyond what is expressly permitted in these Terms, the Privacy Policy, and the Data Processing Addendum.
- Consent Management Features: The Service may include features designed to assist you in obtaining consent from End-Users (e.g., a consent checkbox within a chat interface). If you use such features, you are solely responsible for: (a) ensuring the consent language presented to End-Users is adequate for your legal and compliance requirements; and (b) providing us with the correct and up-to-date hyperlink to your own Privacy Policy. You acknowledge that such features are provided as a tool to assist you in your duties as a Data Controller, and the ultimate legal responsibility for obtaining valid End-User consent remains with you.
- Temporary Browser-Side Telemetry Features:
- Subject to the Customer's configuration of the Service, the Service may include functionality designed to temporarily buffer certain website interaction information (including page visits, navigation sequence, timestamps, clickstream events, dwell time, and similar behavioural telemetry) locally within the End-User's browser, for the purpose of providing enhanced conversation context, analytics, workflow execution, customer engagement functionality, and other Services requested by the Customer.
- Unless transmitted to ZipTier pursuant to the Customer's configuration and any consent required under applicable law, such temporary browser-side telemetry is intended to remain local to the End-User's browser and is designed to expire automatically after the applicable technical retention period.
- Where an End-User subsequently provides any consent required under applicable law through the Customer's implementation of the Service, the Customer may instruct the Service to transmit the buffered telemetry to ZipTier for processing in accordance with these Terms, the Privacy Policy, and the Data Processing Addendum.
- The availability of such functionality does not alter the allocation of responsibilities under these Terms. The Customer remains solely responsible for determining whether use of such functionality complies with applicable law, providing all legally required notices, establishing an appropriate lawful basis for processing, obtaining any legally required consent, and configuring the Service accordingly.
- Customer Responsibility for Legal Basis: You are solely responsible for ensuring that you have all necessary rights, notices, consents, permissions, and lawful bases to submit User Content to the Service and to instruct ZipTier to process such data on your behalf.
- Customer acknowledges that locally buffered telemetry or similar technical functionality made available as part of the Service constitutes a configurable product feature only and shall not be construed as legal advice or as a representation by ZipTier that deployment of such functionality complies with the laws of any particular jurisdiction. Customer remains solely responsible for determining whether such functionality may lawfully be enabled for its particular deployment and for ensuring continued compliance with all applicable privacy and data protection laws.
- Agency-Managed Deployments
- Where the Service is deployed, configured, or operated by an Agency Account on behalf of a Managed Client, the Agency Account holder represents and warrants that it has obtained all necessary authorizations, notices, permissions, consents, and contractual rights required to instruct ZipTier to process User Content and personal data in connection with such deployment.
- As between ZipTier and the Agency Account holder, the Agency Account holder shall be responsible for ensuring that all Managed Clients comply with applicable laws, privacy obligations, notice requirements, consent requirements, and data protection obligations.
- ZipTier may process User Content, campaign data, chatbot interactions, lead information, customer communications, and related information submitted through an Agency Account in accordance with instructions received through such Agency Account and the applicable Data Processing Addendum.
- Unless otherwise agreed in writing between the relevant parties, ZipTier does not determine ownership rights as between an Agency Account holder and a Managed Client in relation to campaign data, chatbot interactions, lead information, customer communications, or other User Content generated through the Service.
- Agency Account holders are responsible for maintaining appropriate administrative, technical, and organizational measures designed to prevent unauthorized disclosure of one Managed Client's information to another Managed Client.
- Credits, Fees & Billings
- ZipTier may offer a free plan and one or more paid subscription plans with tiered pricing, each plan containing different features, user limits, usage allowances, support levels, and commercial terms.
- Paid Subscription Plans may be offered on monthly, annual, or other recurring billing cycles as specified at the time of purchase, in an Order Form, or within the Service.
- Each Subscription Plan may include a monthly allocation of conversation credits, usage credits, tokens, or similar usage entitlements, as described for the applicable plan.
- Included monthly conversation credits or usage entitlements reset or expire at the end of each applicable billing cycle unless expressly stated otherwise.
- Where offered, users may purchase additional overage credits beyond their included monthly allocation. Such overage credits shall remain valid for ninety (90) days from the date of purchase unless otherwise stated at the time of purchase.
- Paid subscriptions renew automatically for successive billing cycles unless cancelled prior to the applicable renewal date.
- Cancellation stops future renewals but does not automatically entitle the user to a refund for fees already charged for the then-current billing period.
- All fees, charges, and purchases are non-refundable except where required by applicable law or expressly stated in the Refund and Cancellation Policy.
- ZipTier may suspend or restrict paid features, usage entitlements, or account access for failed payments, expired payment methods, suspected fraud, sanctions compliance, abuse, or material breach of these Terms.
- You are responsible for all applicable taxes, duties, levies, withholding amounts, and similar governmental charges, excluding taxes based on ZipTier's net income.
- ZipTier may modify pricing, plan names, packaging, features, usage thresholds, or included credits prospectively upon reasonable prior notice where required by law.
- Free plans may be modified, limited, suspended, or discontinued at any time unless otherwise expressly committed in writing.
- Agency, Partner and Referral Programs
- ZipTier may, in its sole discretion, establish agency, partner, referral, reseller, affiliate, volume-discount, credit, incentive, or similar commercial programs.
- Eligibility requirements, discounts, credits, incentives, commissions, benefits, usage thresholds, and program terms may be modified, suspended, withdrawn, or terminated by ZipTier upon reasonable notice where required by law.
- Participation in any agency, partner, referral, reseller, affiliate, volume-discount, credit, incentive, or similar commercial program does not create any partnership, joint venture, employment, franchise, fiduciary, agency, or exclusive relationship between ZipTier and the participating user unless expressly agreed in a separate written agreement.
- ZipTier reserves the right to determine eligibility for, and continued participation in, any such program in its reasonable discretion.
- Intellectual Property
- ZipTier IP: The Service, its design, algorithms, and aggregated data are owned by ZipTier.
- AI Output: You may use AI Output for business purposes, but ZipTier retains rights to the underlying models. AI Output may not be unique across users.
- Similar Output: Because machine learning systems may generate similar responses for multiple users, outputs may not be unique and other users may receive similar or identical content.
- Feedback: Any suggestions, ideas, enhancement requests, or feedback you provide may be used by ZipTier without restriction or compensation, provided such use does not disclose your Confidential Information.
- Confidentiality
- Each party agrees to protect the other's Confidential Information and not disclose it except:
- As required by law.
- To employees or contractors bound by similar confidentiality obligations.

- Security and Service Providers
- ZipTier may use third-party sub-processors, hosting providers, payment processors, vector databases, and AI/model providers to deliver the Service. A current or reasonably updated list may be made available under our DPA or upon reasonable request where applicable.
- Disclaimers
- THE SERVICE, OUTPUTS, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
- AI OUTPUT MAY CONTAIN ERRORS. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING ALL OUTPUT BEFORE USE.
- Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIPTIER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIPTIER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- THE FEES PAID BY YOU TO ZIPTIER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- USD 100 (OR EQUIVALENT LOCAL CURRENCY) WHERE NO FEES WERE PAID.
- NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED, INCLUDING LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR STATUTORY RIGHTS THAT CANNOT BE WAIVED.
- Indemnification
- You agree to indemnify ZipTier against claims arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your infringement of third-party rights.
- You agree to indemnify ZipTier against claims arising from:
- Governing Law & Dispute Resolution
- These Terms are governed by the laws of India, unless a separate enterprise agreement expressly provides otherwise.
- Subject to mandatory consumer rights or applicable law, disputes shall be subject to the exclusive jurisdiction of courts located in Bengaluru, Karnataka, India, unless otherwise agreed in writing.
- Enterprise clients may negotiate alternative dispute resolution mechanisms.
- For users and matters subject to Indian jurisdiction, ZipTier will comply with applicable provisions of the Bharatiya Nyaya Sanhita, 2023 and the Bharatiya Sakshya Adhiniyam, 2023 in relation to offences, investigations, and the admissibility of electronic records.
- ZipTier may suspend or restrict access to the Service immediately where reasonably necessary to prevent security harm, fraud, legal exposure, system abuse, non-payment, or material violation of these Terms.
- You acknowledge that logs, electronic records, and other digital evidence generated by the Service may be preserved and produced in accordance with these statutes and the Information Technology Act, 2000, and that ZipTier may provide certificates or statements as to the manner in which such records are created, stored, and maintained where required by law or by a competent court or authority.
- In the event of conflict between these Terms and a signed Order Form or negotiated enterprise agreement, the signed Order Form or enterprise agreement shall prevail to the extent of the inconsistency.
- Miscellaneous
- Entire Agreement: These Terms and referenced policies form the entire agreement.
- Modifications: We may update these Terms. Material changes will be notified via email or dashboard.
- Severability: If any provision is invalid, the remainder remains enforceable.
- Assignment: You may not assign these Terms without our consent. ZipTier may assign freely.
- Force Majeure: ZipTier is not liable for delays or failures due to events beyond its control.
- Survival: Sections on IP, confidentiality, disclaimers, and liability survive termination.
