  • Understand that AI-generated content may contain errors and must be reviewed before use.

Introduction

These Terms and Conditions ("Terms") form a binding legal agreement between you ("User", "you") and ZipTier India Private Limited ("ZipTier", "we", "us", or "our"), a company incorporated in Bengaluru, Karnataka, India. They govern your access to and use of our AI powered software, services, and website (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, Refund and Cancellation Policy, Cookie Policy, and Data Processing Addendum, which are incorporated by reference.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that entity to these Terms.

Definitions

2.1 AI Output: Any content generated by the Service leveraging AI language models (e.g. LLMs) in use cases such as responding to User Content, generating transcript summaries, or providing recommendations.

2.2 User Content: Data, documents, or materials submitted by you to the Service.

2.3 Subscription Plan: The tier of service you've selected, including features, limits, and fees.

2.4 Intellectual Property Rights: All rights related to patents, copyrights, trademarks, trade secrets, and other proprietary interests.

2.5 Confidential Information: Non-public information disclosed by either party that is designated confidential or would reasonably be understood as confidential.

User Accounts

3.1. Registration: You must provide accurate and complete information when creating an account and keep it updated.

3.2. Security: You are responsible for safeguarding your login credentials. Notify us immediately of unauthorized access. ZipTier is not liable for losses due to compromised accounts.

3.3. Account Termination: You may request the deletion of your account at any time by contacting our support team at support@ziptier.com. We may retain or delete your data in accordance with our Privacy Policy.

3.4. Responsibility for End-Users: If you provide access to the Service to any third party (an "End-User"), you remain fully responsible for such End-User's compliance with these Terms and all incorporated policies. Any breach by an End-User will be deemed a breach by you.

License and Use of Service

4.1. License Grant: Subject to these Terms and payment of applicable fees, ZipTier grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for internal business purposes.

4.2. Restrictions: You may not:

  1. Copy, modify, or reverse-engineer the Service.
  2. Sell, sublicense, or commercially exploit the Service.
  3. Use the Service in violation of law or third-party rights.
  4. Use the Service to generate deceptive, harmful, or misleading content.

4.3. Enterprise Clients: Custom license terms may apply under separate agreements.

User Content and Data Rights

5.1. Ownership: You retain ownership of your User Content.

5.2. License to ZipTier: You grant ZipTier a worldwide, royalty-free license to use, process, and analyze User Content to:

  1. Provide and improve the Service.
  2. Generate AI Output.
  3. Train and refine our AI models (in aggregated and anonymized form only).
    1. Sensitive Data: You must not upload sensitive personal data (e.g., health, financial, biometric) without a separate written agreement outlining additional safeguards.
    2. Compliance: You represent that your User Content complies with applicable laws and our Acceptable Use Policy.
    3. Data Processing: Where applicable, you are the "Data Controller" and ZipTier is the "Data Processor" under GDPR, DPDPA, and similar laws. See our Data Processing Addendum.

Credits, Fees, and Billing

6.1. Credit-Based System: The Service operates on a credit-based system. You must purchase message credits ("Credits") in advance to use certain features of the Service. The prices for Credits will be displayed on our website or within the Service at the time of purchase.

6.2. Purchase of Credits: All purchases of Credits are final and must be paid for in advance.

6.3. Non-Refundable: All purchased Credits are non-refundable, except as explicitly stated in our Refund and Cancellation Policy. Unused Credits have no monetary value and will not be refunded or exchanged for cash upon account termination or for any other reason.

6.4. Taxes: You are responsible for paying all applicable taxes, levies, or duties associated with your purchase of Credits.

6.5. Price Changes: We reserve the right to change the price of Credits at any time. We will provide reasonable notice of any such changes, which will apply to future purchases.

Intellectual Property

7.1. ZipTier IP: The Service, its design, algorithms, and aggregated data are owned by ZipTier.

7.2. AI Output: You may use AI Output for business purposes, but ZipTier retains rights to the underlying models. AI Output may not be unique across users.

7.3. Feedback: Any feedback you provide may be used by ZipTier without obligation or compensation.

Confidentiality

Each party agrees to protect the other's Confidential Information and not disclose it except:

a) As required by law.

b) To employees or contractors bound by similar confidentiality obligations.

Disclaimers

THE SERVICE AND AI OUTPUT ARE PROVIDED "AS IS" WITHOUT WARRANTIES. ZIPTIER DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING

MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT.

AI OUTPUT MAY CONTAIN ERRORS. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING ALL OUTPUT BEFORE USE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIPTIER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

ZIPTIER'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM.

Indemnification

You agree to indemnify ZipTier against claims arising from:

  1. Your use of the Service.
  2. Your violation of these Terms.
  3. Your infringement of third-party rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Disputes shall be resolved exclusively in the courts of Bengaluru, Karnataka. Enterprise clients may negotiate alternative dispute resolution mechanisms.

Miscellaneous

13.1. Entire Agreement: These Terms and referenced policies form the entire agreement.

13.2. Modifications: We may update these Terms. Material changes will be notified via email or dashboard.

13.3. Severability: If any provision is invalid, the remainder remains enforceable.

13.4. Assignment: You may not assign these Terms without our consent. ZipTier may assign freely.

13.5. Force Majeure: ZipTier is not liable for delays or failures due to events beyond its control.

13.6. Survival: Sections on IP, confidentiality, disclaimers, and liability survive termination.
